Q: Are you authorised under an Australian financial services (AFSL) licence ?

Yes.

The manager of the Peer Capital Partners Credit Fund is Peer Capital Partners Pty Ltd ACN 621 660 213, an Authorised Representative (number 1259788) of MSC Advisory Pty Ltd (ACN 607 459 411, AFSL 480649).

 

Q : Are my investments guaranteed ?

No. There is no guarantee on any returns repayment or any of the capital.

As with any investments of this type, there are risks associated with an investment in the Fund. Investments available via the Fund are tailored to sophisticated investors who have the necessary skills and confidence to make informed investments.

Q: Is there a minimum initial investment amount ?

Yes, the minimum initial investment amount for Cash Units is AUD$100,000. There may also be minimum investment amounts for Loan Units  which will be identified in the relevant Loan Memorandum.

However, the Trustee may accept a lower amount from a Qualifying Investor in its absolute discretion.

Q: What if a borrower is late with repayments or defaults?

Occasionally a Borrower may be late with repayments or default on a loan, sometimes due to a genuine oversight or events outside of their control.

Peer Capital Partners has a proactive and robust loan management process to monitor and manage such an event. Borrowers will be actively pursued.

If the Borrower fails to remedy the matter within the timeframes discussed in the Information Memorandum, the manager of the fund and the Trustee will undertake appropriate action to recover the loan as further detailed in section 3.6 of the Information Memorandum.

Should legal action be taken against a defaulting Borrower, any legal and associated third party expenses incurred will be at the Borrower’s cost, however additional funding may be required in the interim. Investors should refer to section 3.7 of the Information Memorandum for further details.

 

Q: What is the term of the investment ?

For Specified Loan Units which are referable to individual Loans between 3 months and 5 years, depending on the selected Loan. Please see the relevant Loan Memorandum for the exact terms for particular loans.

For Pooled Loan Units , there will be a minimum term of 12 months unless otherwise specified in the relevant Pooled Loan Memorandum. Refer to the IM for withdrawal procedures.

Q: When are distributions paid ?

The rate and frequency of distribution will depend on the class of Units you hold.

Q: When can I withdraw?

The terms of withdrawal for your investment will depend on the class of Units that you hold.

Q: Who can invest ?

Only ‘Qualifying Investors’ who meet the definition of a ‘wholesale’ client may invest.

To be an Australian  ‘wholesale client’ in accordance with the Corporations Act 2001, you must:

  1.  Invest AUD$500,000 or more in the Fund, or
  2.  Provide a certificate from a qualified accountant that states that you have net assets of at least AUD$2.5 million or have a gross income for each of the last two financial years of at least AUD$250,000, or
  3.  Be a professional investor (including the holder of an Australian financial services licence, a person who controls more than AUD$10 million or a person that is a listed entity or a related body corporate of a listed entity.

To be a Singaporean ‘accredited client’ in accordance of the Securities and Futures Act and Securities and Futures Regulations 2005
―accredited investor means

(i) an individual —

(A) whose net personal assets exceed in value the minimum amount of SGD$2 million (or its equivalent in a foreign currency) or such other amount as the Authority may prescribe in place of the first amount, and in determining whether an individual’s net personal assets exceeds the minimum amount, the estimated fair market value of an individual’s primary residence less any outstanding amounts in respect of any credit facility granted to the individual or any other person that is secured by that residence, shall not account for more than $1 million (or its equivalent in a foreign currency) of the minimum amount; or

(B) whose income in the preceding 12 months is not less than SGD$300,000 (or its equivalent in a foreign currency) or such other amount as the Authority may prescribe in place of the first amount.
